01 Agreement
These Terms of Service ("Terms") form a binding agreement between you and Ledgerly Ltd. ("Ledgerly", "we", "us") for your use of the Ledgerly website, invoicing dashboard, payment pages and related services (together, the "Service"). By creating an account or using the Service you accept these Terms. If you use the Service on behalf of a business, you confirm that you are authorized to accept these Terms for it.
02 Your account
- You must be at least 16 years old and provide accurate sign-up information.
- You are responsible for keeping your login credentials secure and for all activity under your account.
- Tell us right away at support@ledgerly.us.ci if you suspect unauthorized access.
- On Team plans, the account owner controls member access and is responsible for members' use.
03 The service
Ledgerly lets you create and send invoices, set up automatic payment reminders, accept online payments through your own Stripe account, and generate revenue reports. Features available to you depend on your plan, as described on the pricing page.
04 Your invoices and tax compliance
Ledgerly is not an accounting, legal or tax advisory service. We provide tools to build and send invoices; we do not review them for accuracy or compliance. You are solely responsible for the accuracy of every invoice you issue, for charging and remitting any applicable taxes, and for complying with the accounting, invoicing and tax laws that apply to your business. If you are unsure how a rule applies to you, consult a qualified accountant or tax advisor.
05 Plans, billing and taxes
- Paid plans are billed in advance, monthly or yearly, and renew automatically until cancelled.
- Upgrades take effect immediately and are prorated. Downgrades and cancellations take effect at the end of the current period.
- Your Ledgerly subscription price excludes VAT and sales tax, which we add where required.
- We may change prices with at least 30 days' notice by email. Changes apply from your next renewal.
- Refunds of Ledgerly subscription fees are covered by our Refund Policy.
06 Payments through Stripe
Payments your clients make on your invoices are processed by Stripe, Inc. under Stripe's own terms of service, which you must separately accept when you connect a Stripe account. Ledgerly never holds, routes or has custody of those funds; Stripe settles them directly to your connected bank account. Ledgerly is not responsible for Stripe's processing fees, payout schedule or any dispute between you and Stripe.
07 Acceptable use
You agree not to:
- use the Service to issue fraudulent, deceptive or duplicate invoices, or to bill for goods or services not actually provided;
- use the Service for anything unlawful or to offer illegal goods or services;
- send spam or unsolicited messages through reminders or notifications;
- upload malware, probe or overload our systems, or bypass usage limits;
- scrape, resell or sublicense the Service without our written permission.
08 Your content and data
You own the content you put into Ledgerly, including client records, invoices and line items. You grant us a limited license to host, copy and display that content only as needed to run the Service. You can export your data at any time from the dashboard.
09 Our intellectual property
The Service, its software, design and the Ledgerly name and logo belong to Ledgerly Ltd.. Ledgerly is proprietary software; these Terms grant you a non-exclusive, non-transferable right to use it during your subscription and nothing more. Feedback you send us may be used to improve the product without obligation to you.
10 Data export
You can export your invoices, clients and payment history to CSV, or sync them to Xero or QuickBooks, at any time from the dashboard. We recommend keeping your own copy of financial records independent of Ledgerly.
11 Suspension and termination
You may close your account at any time from settings or by emailing us. We may suspend or terminate accounts that breach these Terms, after notice where reasonably possible. After closure you have 30 days to export your data, after which it is deleted as described in the Privacy Policy.
12 Disclaimers and liability
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We are not liable for indirect, incidental or consequential losses, including lost revenue or late payments from your clients. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
13 Governing law
These Terms are governed by the laws of the jurisdiction in which Ledgerly Ltd. is registered, without regard to conflict-of-law rules. If you are a consumer, you keep any mandatory protections of the country where you live.
